The Antimonopoly Committee of Ukraine has granted approval to Bunge Ltd., a multinational corporation and one of the world’s largest agribusiness players, to acquire the Vinnytsia Oil and Fat Plant (VOZhK). The transaction will be carried out through the Cyprus-based company Eltorne Limited (Paphos), owned by Oleksii Ponomarchuk, which holds 100% of the plant’s shares via LLC “Aktiv-OZhK.”

Bunge, headquartered in Rotterdam, operates in more than 40 countries and is among the world’s top ten grain traders. The company specializes in grain trading and is a global leader in oilseed processing, particularly soybeans. Following its acquisition of Loders Croklaan in 2018, Bunge strengthened its position in the oils and lecithin B2B segment.

The Vinnytsia Oil and Fat Plant is a multi-profile enterprise processing sunflower, rapeseed, and soybeans. It includes two oil extraction plants with a combined processing capacity of more than 2,800 tons of seeds per day, as well as production lines for refined oil, packaged products, husk pellets, and phosphatide concentrate. The site also features extensive storage and logistics facilities: elevators for seeds and meal, oil tanks, and rail and truck loading lines. The plant uses sunflower husks as alternative fuel for its own boiler, reducing environmental impact.

The plant’s financial performance has deteriorated in recent years. In 2024, revenue fell 2.4 times to UAH 759.5 million, with a net loss of UAH 97.7 million (compared to a profit of UAH 101.3 million the previous year). In the first half of 2025, losses deepened to UAH 64.2 million, while revenue almost halved to UAH 275.6 million.

Thus, the acquisition of VOZhK may allow Bunge to strengthen its position in oilseed processing in the Ukrainian market and expand its production network in a strategically important region.
