Polish food and beverage group Maspex has received approval from the Antimonopoly Committee of Ukraine to establish joint control, together with a Ukrainian citizen, over two companies — Karpatski Mineralni Vody LLC and Trading House Karpatski Mineralni Vody LLC. The decision was issued on 20 November.
The identity of the Ukrainian citizen is not disclosed in the committee’s decision. He will exercise control over his share through Dynalum Finance Ltd, a Cyprus-based company under his ownership.
In addition, the Antimonopoly Committee of Ukraine approved concerted actions between Maspex (Wadowice, Poland), Dynalum Finance Ltd (Larnaca, Cyprus), and the Ukrainian citizen concerning non-competition and non-solicitation commitments outlined in clause 11 of their shareholders’ agreement.
According to YouControl, the current beneficial owner of both Ukrainian companies is Serhii Petrovych Ustenko. He holds an 83.77% stake in Karpatski Mineralni Vody LLC (the remaining 16.23% is owned by Petro Ivanovych Ustenko), and controls 99.9% of Trading House Karpatski Mineralni Vody LLC via Dynalum Finance Ltd (0.0960% is held by Petro Ustenko).
Karpatski Mineralni Vody is engaged in mineral water extraction in Lviv region and produces beverages, including the Karpatska Dzherelna brand.
Maspex Group is one of the largest food and beverage producers in Central and Eastern Europe. Its portfolio includes non-alcoholic and alcoholic beverages, pasta products, ready-to-eat foods, canned products, and pharmaceutical items.
