Ukrainian Antimonopoly Committee Approves Kernel’s Bid for Control of IMC Agroholding

Andriy Verevskyi’s Kernel is seeking to acquire a stake in IMC, despite the agroholding’s recent withdrawal from deal negotiations

Kernel, the Ukrainian agribusiness group owned by Andriy Verevskyi, is pursuing the acquisition of IMC Agroholding, according to a filing submitted to the Antimonopoly Committee of Ukraine (AMCU).

The AMCU has granted Kernel Holding S.A. (Luxembourg) approval to acquire control over IMC S.A. (Luxembourg). If the transaction is finalized between Kernel Holding, Agrovalley Limited, and IMC S.A., it would result in Kernel Holding assuming control of IMC.

However, as of May 15, 2025, negotiations have been suspended. IMC’s majority shareholder, Oleksandr Petrov — who had previously considered selling part of his stake to Kernel in March 2025 — has since stepped back from the deal.

IMC Agroholding was founded in 2007 by Oleksandr Petrov, former owner of the "Club Sira" dairy group. Until 2017, the company operated under the name Industrial Milk Company.

IMC cultivates wheat, corn, and sunflower across 120,000 hectares of farmland in the Poltava, Chernihiv, and Sumy regions of Ukraine.
