Fozzy Group Completes Acquisition of Badoryi Chain with Around 180 Stores

Fozzy Group has completed the acquisition of the Badoryi retail chain, as a result of which around 180 stores in Kyiv and Kyiv region will come under the management of the Fora chain

One of Ukraine’s largest retail groups, Fozzy Group, has completed a transaction to expand its presence in the neighborhood store segment. The investment fund PJSC “Closed Non-Diversified Venture Corporate Investment Fund ‘Benefit’”, which is part of the group’s structure, has gained control over Nedles, the company operating the Badoryi food market chain.

As a result of the transaction, around 180 retail outlets located in Kyiv and Kyiv region will come under the management of the Fora chain. Fora’s press service announced the completion of the acquisition process on June 2.

The company said the acquisition is part of its long-term strategy to develop the small-format neighborhood store segment. Through the integration of the Badoryi chain, the retailer expects to strengthen its position in the capital region market, increase the scale of its business and expand consumer coverage.

At the initial stage, Badoryi stores will continue operating in the format familiar to customers. Further integration will take place gradually, while preserving existing employee teams, partner relationships and taking into account the specifics of each retail outlet.

The transaction was preceded by a decision of the Antimonopoly Committee of Ukraine. On March 26, 2026, the AMCU granted Fozzy Group co-owner Volodymyr Kostelman permission to acquire control over the Badoryi chain. According to YouControl, Kostelman owns 40.2% of the shares in the venture corporate investment fund Benefit, through which the transaction was carried out.

Nedles, the operator of the Badoryi chain, owns the relevant trademark. According to YouControl, before the transaction was completed, its co-owners were Vitalii Miroshnikov with a 68.75% stake and Ihor Prokhorenko with a 31.25% stake.

The Badoryi chain began developing in Kyiv in 2017, opening its first six stores. In recent years, the company has demonstrated high growth rates. In 2025, Nedles LLC’s revenue reached UAH 2.8 billion, up 68.5% compared with the previous year. At the end of last year, the chain had 158 retail outlets, while its strategic plans envisaged increasing the number of stores to approximately 500 by 2030.

For Volodymyr Kostelman and Fozzy Group, the acquisition became another step in developing the group’s diversified ecosystem. In addition to food retail, the group is actively investing in adjacent areas, including pharmacy chains, pet stores, delivery services and financial services. Earlier, in 2021, Fozzy Group also expanded its assets by acquiring the Furshet supermarket chain.

Market experts note that the integration of Badoryi will allow Fozzy Group to significantly strengthen its presence in the country’s most competitive region and reinforce the position of the Fora chain in the everyday consumer demand store segment.
