Starting November 20, 2026, Fozzy Group will merge the Maudau marketplace and Silpo’s E-commerce & Ecosystem division into a single business unit with shared management and resources, according to Forbes Ukraine.
Both businesses will retain their brands and continue serving customers. The integration will involve streamlining management structures, consolidating technology resources, and reducing part of the workforce.
Investment in Maudau and Financial Performance
The Maudau marketplace was launched in 2021 as an investment project by Fozzy Group, aiming to create a Ukrainian equivalent of Amazon, with its own warehouses, logistics infrastructure, and third-party sellers.
During its first three years, Fozzy Group's owners contributed UAH 285 million in equity capital to Maudau. Total investment in the project may have reached at least UAH 1.2 billion, according to an estimate by a company shareholder cited by Forbes Ukraine in 2024.
Despite growing sales, the marketplace remains unprofitable.
According to YouControl:
-
2025: Revenue increased by 33% to UAH 3.2 billion, while the net loss widened by 15% to UAH 743.8 million.
-
First half of 2026: The company generated nearly UAH 1.6 billion in revenue and recorded a net loss of UAH 534.5 million.
As a result, reducing losses and improving returns on invested capital are becoming key priorities for the company's owners.
Cost Optimization and Asset Consolidation
The merger will allow Fozzy Group to eliminate overlapping management functions, reduce IT, marketing, and personnel expenses, and make more efficient use of shared logistics infrastructure.
According to Yuriy Kopyshynskyi, CEO of Webpromo, potential savings on team-related costs could reach 60–70%.
At the beginning of 2026, online sales accounted for approximately 10% of Silpo's total sales turnover, including home delivery, click-and-collect orders, and the Loko delivery service. Maudau, Silpo, and Loko also share the Vlasnyi Rakhunok loyalty program, which had more than 3 million active users in 2025.
Russian attacks on logistics infrastructure have become another factor driving the restructuring. Between August 1 and September 25, 2026, more than 20 Fozzy Group facilities were damaged or destroyed, increasing supply chain costs.
Is Fozzy Group Preparing Its E-Commerce Business for Sale?
Ihor Hut, co-founder of the Swedish-Ukrainian DYB project, suggests that the merger of Maudau and Silpo's online business could be a preparatory step toward a potential future sale of the asset.
The expert identifies international marketplaces such as Allegro and Amazon, as well as financial investors, among potential buyers. However, there is currently no information about specific negotiations regarding a sale or capital raising.
The consolidation of assets could enhance the investment attractiveness of Fozzy Group's e-commerce business by reducing costs and centralizing management. Key performance indicators will include lower losses, improved margins, and increased profitability of online orders.
This marks the second stage of Fozzy Group's e-commerce asset consolidation. In late 2025, the company integrated the Pampik online children's products retailer into Maudau.
