The Antimonopoly Committee of Ukraine (AMCU) has allowed the former owners of the Karavan retail chain, Andriy Gordienko and Serhiy Khripkov, through Agrodom Leader LLC, to acquire Belarus LLC, which belongs to the co-owner of Fozzy Group, Volodymyr Kostelman.

"Permission has been granted to Agrodom Leader LLC to acquire control over Belarus LLC by purchasing a share in the authorized capital of Belarus LLC, which ensures an excess of 50% of the votes in the company's supreme management body," the agency said in a statement.

InVenture acted as the investment advisor to the deal.

The agricultural company Belarus LLC was founded in 2014 and specializes in growing grain crops. The agricultural land that the company leases and cultivates is located in the Gorodnyanskyi district of the Chernihiv region. In total, the company "Belarus" LLC manages a land bank of 4406 hectares.

According to Youcontrol, Volodymyr Kostelman acquired the company "Belarus" LLC in 2019.

In 2024, the company increased its revenue by 65.1% - to UAH 211.14 million, and its net profit amounted to UAH 15.14 million against a net loss of UAH 71.12 million in 2023. The company's assets at the end of last year were estimated at UAH 181.76 million. The company's authorized capital is UAH 50 million.

The beneficiary of the agricultural enterprise LLC "Belarus" through PJSC "Closed Undiversified Venture Corporate Investment Fund Holding Invest" is the co-owner of the Fozzy Group trade and industrial group Volodymyr Kostelman.

LLC "Agrodom Leader" was founded in 2013 in Kyiv, its beneficiaries are Andriy Gordienko and Serhiy Khripkov through JSC "Closed Undiversified Venture Corporate Investment Fund "Kleon" (37.5%), JSC "Closed Undiversified Venture Corporate Investment Fund" to Limited (24.9%).

Andriy Gordienko and Serhiy Khripkov are today the owners of a large network of solar power plants (177 MW) in Ukraine under the Clean Energy brand and a large pig complex "Kalita". In the period from 2003 to 2017, they and their partner developed the network of shopping and entertainment centers "Karavan".
