Project Overview

An operating wind power plant based on two industrial-class wind turbines with a total capacity of 10.4 MW located in Zakarpattia region.

  • Annual generation: 30–32 million kWh
  • Operational lifespan: up to 25 years

The asset was commissioned on June 23, 2025, connected to the Unified Energy System of Ukraine, and sells electricity on market terms. The financial model is based on the asset’s historical operating data. Existing O&M contracts and a SCADA system ensure real-time generation monitoring.

For investors, this means there is no construction or commissioning phase — income is generated from the moment of entry.

Investment is structured through a mutual investment fund (Closed-End Diversified Corporate Investment Fund “Real Estate Growth Fund”), which will acquire a 49% stake in the asset. The fund is managed by Portofin AMC. The acquisition of the stake is carried out in stages — in tranches starting from UAH 50 million — to minimize idle capital for investors.

All settlements and securities accounting are conducted through the licensed independent broker Univer Capital.

Business Model

The fund owns 49% of the wind turbines. The operator (LLC “NV-3”, holder of 51%) is responsible for operation, maintenance, and electricity sales.

Revenue consists of two components:

  • Fixed — a guaranteed payment of 5% per annum, independent of market conditions and weather. Secured in the Lease Agreement.
  • Variable — based on actual generation and market price, with no upper cap, above the minimum guaranteed income.

Payouts are made quarterly, accrued from the acquisition date. Exit after 11 years — asset sale and proportional distribution according to ownership shares.

Legal Structure

Investments are structured through the Ukrainian Closed-End Diversified Corporate Investment Fund “Real Estate Growth Fund,” which acquires a share in the wind turbines as real estate assets.
