CMS Cameron McKenna Nabarro Olswang in Kyiv is pleased to announce that it has advised SD Capital on the English and Ukrainian law aspects of a joint venture transaction which brings P&O Maritime (owned by DP World Group - one of the worlds’ largest port operators) to Ukraine for the first time. As part of the transaction, P&O acquired control over the Ukrainian harbour towage company LB Shipping. The joint venture will provide towage services in Ukraine’s Black Sea port of Yuzhnyi.
The deal was signed by Andrey Stavnitser, SD Capital Partner, and DP World Group‘s Chairman and CEO, Sultan Ahmed Bin Sulayem, in November 2017 after the visit of the President of Ukraine Petro Poroshenko to DP World Group‘s headquarters in the UAE.
The CMS team was led by Graham Conlon, Managing Partner of the Kyiv office and CEE/CIS Co-Head of International Private Equity, and senior associate and corporate/M&A practice coordinator Tetyana Dovgan, and included Vitalii Mainarovych, Olga Belyakova, Natalia Nakonechna, Olena Basanska, Diana Pysarenko (all in Kyiv) and Christian Delgado (Amsterdam).
Graham Conlon commented: “This is yet another high profile transaction on which we CMS have advised in recent times, with us having acted on all English and Ukrainian law aspects of the transaction on the ground in Kyiv.”
Tetyana Dovgan added: “We are very proud to have advised our long-standing client on yet another stragetic deal, contributing to the further development of commercial marine infrastructure in Ukraine. This transaction is also a demonstration of our unique cross-border transactional capabilities and expertise”.
