According to information from sources cited by the media, the parties have already agreed on the key terms of the transaction and are moving to formal regulatory approval procedures — primarily with the Antimonopoly Committee of Ukraine (AMCU). A public decision by the committee regarding approval of the concentration is expected in the near future.
Sources say that the transaction has effectively been completed, with the remaining steps being largely procedural.
This is the second attempt by Kernel to acquire Agro-Region since the start of Russia’s full-scale invasion of Ukraine. During the first round of negotiations, the parties failed to agree on the valuation.
Assets and deal valuation
The company operates in the Kyiv, Chernihiv, Zhytomyr and Khmelnytskyi regions.
According to market estimates, the transaction includes:

a land bank of approximately 41,000 hectares across several regions of Ukraine;

elevator and logistics facilities (Boryspil, Myropil and Zavorichi);

agricultural machinery and corporate rights to the entire business.
Based on preliminary expert assessments, the indicative value of the deal may range from $100 million to $110 million, taking into account all assets.

Kernel’s press service has so far refrained from providing detailed comments on the transaction, noting that it is not yet ready to officially confirm the deal.
